Party B: Urban and Rural Development Investment Co. Ltd of Honggu District, Lanzhou City
1. Name of project: The wastewater treatment engineering at Haishiwan Township of Honggu District
2. Profile: The designed scale of The wastewater treatment engineering at Haishiwan Township of Honggu District is 30thausand m3/ d of wastewater treatment. The construction items will cover one wastewater treatment plant (wastewater treatment part, slurry treatment part, and affiliated facilities for production and life); matched pipeline of municipal wastewater.
3. Place, period and property of construction
The place for the construction of the wastewater treatment engineering at Haishiwan Township of Honggu District is located in the southeast corner of Haishiwan Township in the planned area. It is an important basic facilities construction project of Honggu District, Lanzhou City. The expected construction period is 2 years.
4. Estimated total investment: 108 Million RMB Yuan
Origin of fund:
⑴ Urban and Rural Development Investment Co. Ltd of Honggu District, Lanzhou City will Apply for national financial subsidy of 64.80 million RMB Yuan, accounting for 60% of total investment;
⑵ APERTURA ESPA?OLA will help finance 43.20 million RMB Yuan, accounting for 40% of total investment.
5. Party A will be responsible for the operation and management of the project within the period (20-30years) approved by concession. Within five years after the project will have been constructed, party A must replace the 64.80 million RMB Yuan of fund invested by party B in stages and transfer to party B as other construction fund for basic facilities construction.
6 . During the period (20-30 years) approved by concession, party A will be approved to charge the users to pay back the loans, return the investment and make profits.
7. After the project will have been constructed, party A will possess the right of operation and usage of the project for 20-30 years; by the end of the period approved by concession, party A should free transfer the wastewater treatment engineering at
Haishiwan Township of Honggu District to party B.
8. The allocation of profits and debts should be based on the proportion of investment.
9. Party A should inject the total amount of fund into the account of party B after the agreement will have been signed within three days and should not divestment halfway with any reasons. Otherwise will be treated as default and will undertake 20% of the part of investment by party A as penalty.
10. When the agreement is signed, any party signed it should not stop the agreement with any reasons and must fulfill the obligations required in the agreement.
11. The agreement is adapted with Chinese laws. If there are any arguments, it should be resolved following the international practice.
12. Four identical copies of double languages (English & Chinese) would be held by both parties, i.e. two copies would be held by each party.

建设项目合作协议
甲方：西班牙对外发展公司
乙方：兰州市红古区城乡发展投资有限公司
一、 项目名称：红古区海石湾污水处理工程
二、 项目内容：红古区海石湾污水处理厂设计规模为日处理污水3万m3/d，工程建设内容：污水厂一座（其中包括：污水处理工段、污泥处理工段、附属及辅助生产生活设施等）；建设城市污水配套管网。
三、 建设地点、建设工期及建设性质：
红古区海石湾污水处理工程厂区，位于海石湾城镇规划区东南角，是兰州市红古区重要的城市基础设施建设项目，建设周期2年。
四、 总投资（估算）：该工程项目建设总投资1.08亿元人民币。
项目前期按照股份制模式运行。
股份制资金来源：兰州市红古区城乡发展投资有限公司申请国家补助资金6480万元人民币，占项目建设资金的60%；由西班牙对外发展公司筹集资金4320万元人民币，占项目建设资金
的40%。
项目建成后按照BOT模式运行。乙方在项目启动后，积极协调争取项目特许经营权。
五、 甲方在特许权期限内（20—30年）负责项目的经营与管理。项目建成后甲方须在五年内将乙方投资6480万元分批置换交由乙方做投资其他城市基础建设项目资金。
六、 甲方在特许权期限内（20—30年）准许其通过向用户收取费用以清偿贷款，回收投资并赚取利润。
七、 本项目建成投入使用后甲方拥有20—30年经营使用权，特许权期限届满时将无偿将红古区海石湾污水处理工程移交给乙方。
八、 甲乙双方在利益和债务分配方面，采用按投资比例分配与承担。
九、 双方签定协议（资金注入方式等内容待双方协商后定）将建设资金注入乙方账户，中途不得以任何理由撤资。否则视为违约，将承担出资额的20%做为违约赔偿金。
十、 双方签订协议后，任何一方都不得以任何理由终止协议，必须按协议要求履行协议义务。
十一、 本协议适用于中国法律、有争议按照国际惯例解决。
